Terms & Conditions

These Terms and Conditions govern the use of the distributor portal provided by Intelblast, including access to distributor products, purchases, rentals, orders, invoices, documents, account information and any other services made available through the portal.

By using the distributor portal, placing an order or requesting a rental, you agree to these Terms and Conditions.

1. Distributor account

Access to the portal is provided only to approved distributors and authorized users.

Your account is personal to you or your company and must not be shared with unauthorized persons. You are responsible for keeping your login information secure and for activity performed through your account.

You must provide accurate and current company, billing, delivery and contact information in your Company Profile.

We may suspend or restrict access to an account where we reasonably believe that:

  • The account is being misused.
  • Unauthorized access has occurred.
  • Information provided is incorrect or misleading.
  • Payments remain overdue.
  • These Terms have been breached.
  • Continued access may create a security or commercial risk.

2. Account security and two-factor authentication

The portal may provide or require two-factor authentication.

Where email verification is enabled, a security code may be sent to the email address associated with the distributor account.

Users may be offered the option to remember a trusted browser or device for up to 30 days. A new verification code may be required sooner where security settings change, the password is reset, remembered devices are removed, browser data is cleared or additional verification is required for security reasons.

You are responsible for ensuring that the email account connected to your distributor account remains secure.

If you believe your distributor account or email account has been compromised, you must contact us without unnecessary delay.

3. Distributor pricing

Products available through the portal may have distributor-specific purchase prices, rental prices or other commercial conditions.

Prices displayed in the portal apply to the distributor account currently logged in and must not be assumed to apply to another distributor.

Unless otherwise stated, applicable taxes, shipping charges, duties and other fees may be added to the order.

We reserve the right to correct obvious pricing, calculation or technical errors.

If an incorrect price has been displayed due to a technical or administrative error, we may contact you before processing the affected order.

4. Orders

Orders can be created through the distributor portal using the products and options made available to your account.

An order is not necessarily considered finally accepted simply because it has been submitted through the portal.

Order status may include states such as processing, on hold, completed, cancelled or other statuses shown within the portal.

The order page may contain:

  • Ordered products.
  • Quantities.
  • Prices.
  • Order totals.
  • Order type.
  • Order status.
  • Rental information where applicable.
  • Billing information.
  • Delivery information.
  • Invoice documents.
  • Other order-related information.

You are responsible for reviewing the order information before submitting an order.

If you identify an error after submitting an order, contact us as soon as possible.

5. Product purchases

Products marked as available for purchase may be ordered at the purchase price shown for your distributor account.

Availability shown in the portal may change.

An item displayed as available does not guarantee that it will remain available until the order has been processed and confirmed.

Ownership of purchased goods is subject to any payment and delivery conditions agreed between the parties.

6. Rentals

Products marked as available for rental may be rented for the dates and prices shown through the portal.

A rental request must specify the required rental period where requested by the system.

The portal may calculate rental pricing based on the applicable daily, weekly, monthly or other configured rental rates.

The rental period shown in the confirmed order or rental record is the period that applies to that rental unless otherwise agreed in writing.

The renter is responsible for reviewing the rental dates before confirming the order.

7. Rental availability

Rental availability may depend on existing reservations, rental periods, returns, maintenance and operational requirements.

An indicated “Available from” date represents the information currently recorded in the system and may change if an earlier rental is extended, equipment is returned late or the product requires inspection, repair or maintenance.

We will make reasonable efforts to notify the distributor if a confirmed rental becomes affected by an unexpected availability issue.

8. Rental equipment

Rental equipment remains the property of its owner.

The distributor must:

  • Use the equipment only for its intended purpose.
  • Follow operating and safety instructions.
  • Take reasonable care of the equipment.
  • Prevent unauthorized use.
  • Keep the equipment secure.
  • Notify us promptly of damage, malfunction, loss or theft.
  • Return the equipment in accordance with the agreed rental arrangements.

The distributor must not sell, transfer, pledge, permanently modify or otherwise dispose of rented equipment.

9. Damage and loss

The distributor may be responsible for damage, loss or missing equipment occurring during the rental period where this results from misuse, negligence, unauthorized modification, improper storage or failure to follow applicable operating instructions.

Normal wear resulting from appropriate use is not treated in the same way as misuse or accidental damage.

Where equipment is returned damaged, incomplete or requiring additional repair or cleaning, reasonable related costs may be charged where applicable.

10. Rental return

Rental equipment must be returned by the agreed return date unless an extension has been approved.

Submitting an extension request does not automatically extend the rental.

An extension becomes effective only after it has been approved or otherwise confirmed.

Where equipment is returned later than agreed without an approved extension, additional rental charges or other reasonable costs may apply.

11. Rental return requests

Where the portal provides a rental return function, the distributor can use it to notify us that equipment is ready for return.

A return request is a notification and does not itself confirm that the equipment has physically been received.

A rental may remain active until the return has been completed and recorded.

12. Rental extensions

Where rental extensions are available, the distributor may submit an extension request through the portal.

Extensions depend on availability and are not guaranteed.

An extension may be declined where the equipment has already been reserved for another customer or distributor.

Any additional rental charges resulting from an approved extension may be added to the order or invoiced separately.

13. Invoices and PDFs

Invoices and other order documents may be made available digitally through the portal or sent by email.

The portal may allow distributors to download invoice PDFs directly from individual orders.

Electronic documents should be reviewed promptly. If you believe an invoice or document contains an error, contact us.

Documents available through the portal are generated using the information recorded in the system at the time the document is created.

14. Packing slips

Packing slips are operational documents used for order handling, fulfilment and shipment.

Packing slips may be available only to administrators or internal staff and are not necessarily made available through distributor accounts.

15. DropSale and client orders

Where DropSale or similar client-order functionality is enabled for a distributor account, additional functionality may allow orders or documents to be prepared for the distributor’s customer.

The distributor remains responsible for the accuracy of client information submitted through such functionality.

The distributor must have an appropriate basis for providing customer contact, billing or delivery information to us.

Client-facing invoices or documents must not be altered or used in a misleading manner.

Where DropSale functionality is not enabled for the account, these provisions do not apply.

16. Product information

We aim to keep product descriptions, images, specifications, pricing and availability information accurate.

However, minor differences may occur between images displayed in the portal and the actual product.

Technical specifications may also change where products or product versions are updated.

If a particular specification is essential to your order, confirm it with us before placing the order.

17. Delivery

Delivery arrangements, shipping methods, delivery charges and estimated delivery times may depend on the destination, product and order type.

Any delivery date communicated before shipment should be treated as an estimate unless it has expressly been agreed as a guaranteed delivery date.

The distributor is responsible for providing correct and complete delivery details.

Additional costs resulting from incorrect delivery information may be charged where appropriate.

18. Payment

Payment terms are determined by the commercial conditions applicable to the distributor account or by a separate agreement between the parties.

Where payment terms or credit arrangements have been agreed separately, those conditions continue to apply.

Outstanding payments may result in orders, rentals or portal access being placed on hold.

19. Cancellations

Requests to cancel an order or rental should be made as early as possible.

Cancellation is subject to the status of the order, product preparation, shipment, rental reservation and any separately agreed commercial conditions.

An order that has already been prepared, dispatched or placed into active rental may not be cancellable without costs.

20. Returns of purchased products

Returns of purchased products are handled according to the return conditions agreed between the distributor and [Company legal name].

Business-to-business orders may be subject to different return conditions from consumer purchases.

Any specific return agreement applying to your distributor relationship takes precedence over general information displayed in the portal.

21. Email communication

The portal may send transactional emails concerning:

  • Orders.
  • Order status changes.
  • Rentals.
  • Rental returns.
  • Rental extensions.
  • Invoices.
  • Account security.
  • Password resets.
  • Two-factor authentication.
  • Distributor account administration.

You are responsible for maintaining a working account email address and monitoring communications relating to your account.

Email delivery can be affected by spam filters, mail server configuration and external email providers.

22. System availability

We aim to keep the distributor portal available and functioning reliably.

However, uninterrupted access cannot be guaranteed.

Access may occasionally be restricted because of:

  • Maintenance.
  • Security updates.
  • Server maintenance.
  • Software updates.
  • Technical faults.
  • Internet outages.
  • Third-party service interruptions.
  • Security incidents.

Where reasonably possible, important functions will be restored as quickly as practical.

23. Security

We use technical and organizational measures intended to protect distributor accounts and portal information.

However, no internet-connected system can be guaranteed to be completely secure.

You must not attempt to:

  • Circumvent access restrictions.
  • Access another distributor’s information.
  • Manipulate prices or order information.
  • Interfere with the portal.
  • Probe or exploit security vulnerabilities.
  • Upload malicious files or code.
  • Automate requests in a manner that disrupts the service.
  • Use another person’s account without authorization.

Security vulnerabilities should be reported privately to info@intelblast.com.

24. Account misuse

We may immediately suspend an account where we identify suspected fraud, unauthorized access, abuse, attempted security exploitation or other activity that could harm the system, another customer or the business.

Suspension does not automatically cancel outstanding orders, rentals, invoices or payment obligations.

25. Intellectual property

The portal, product materials, documentation, graphics, trademarks, product information and other content remain the property of their respective owners.

Portal access does not transfer intellectual property rights to the distributor.

Materials may be used only for legitimate distributor activities unless otherwise agreed.

26. Limitation of responsibility

The portal is provided as a business tool for managing distributor activities.

To the extent permitted under the agreement between the parties and applicable law, [Company legal name] is not responsible for indirect losses arising solely from temporary portal downtime, delayed email delivery, external service failures or incorrect information entered by the distributor.

Nothing in these Terms is intended to exclude responsibility that cannot legally be excluded.

27. Separate distributor agreements

These Terms supplement any separate distributor, reseller, rental, supply or commercial agreement between the distributor and [Company legal name].

If a signed written agreement contains terms that conflict with these portal Terms, the signed agreement will take priority for the conflicting matter unless otherwise agreed.

28. Privacy

Personal information processed through the distributor portal is handled in accordance with our Privacy Policy.

The Privacy Policy should be read together with these Terms.

29. Changes to the portal

Features may be added, modified or removed as the distributor platform develops.

This can include changes to ordering, rentals, invoices, security, account management and other portal functionality.

Changes that materially affect existing contractual rights will be handled in accordance with the applicable agreement and legal requirements.

30. Changes to these Terms

These Terms may be updated when the portal, services or commercial arrangements change.

The current version will be published on the Terms page together with its latest update date.

Continued use of the portal after updated Terms take effect constitutes acceptance where this is legally permitted.

31. Termination of access

Distributor access may be terminated when:

  • The distributor relationship ends.
  • The account is no longer required.
  • These Terms are materially breached.
  • Fraudulent or abusive activity is identified.
  • Continued access creates a security risk.

Termination of portal access does not remove existing payment, return, rental or other obligations.

32. Governing agreement and jurisdiction

These Terms are governed by the law and jurisdiction specified in your distributor agreement with [Company legal name].

If no separate written distributor agreement applies, the following governing law and jurisdiction shall apply:
